TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
By accessing or using the Syngraph platform, API, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Services.
2. DESCRIPTION OF SERVICES
Syngraph provides physics-verified knowledge graph data and API access for use in training, fine-tuning, and grounding intelligent systems. The Services include data query endpoints, validation outputs, and related documentation.
3. API ACCESS AND USE
Access to the Syngraph API is granted on a per-account basis. You agree to: (a) use the API only for lawful purposes; (b) not exceed rate limits or usage quotas assigned to your account; (c) keep your API credentials confidential; and (d) not share, resell, or redistribute raw API responses as a standalone dataset or competing service.
4. INTELLECTUAL PROPERTY
The Syngraph knowledge graph, validation methodology, data pipeline, algorithms, and all related intellectual property are owned exclusively by Syngraph. You are granted a limited, non-exclusive, non-transferable license to query and use API responses for your internal training and deployment purposes. This license does not transfer ownership of any underlying data, methods, or technology.
5. RESTRICTIONS
You may not: (a) attempt to reconstruct, derive, or reverse-engineer the validation methodology, data pipeline, scoring systems, or underlying algorithms of Syngraph; (b) use automated means to systematically extract or mirror the knowledge graph; (c) use the Services to build a competing product or service; (d) remove or alter any proprietary notices or attribution in API responses; or (e) sublicense, resell, or distribute API access to third parties without written authorization.
6. DATA ACCURACY AND DISCLAIMER
Syngraph data is verified through multi-stage validation against physical laws and simulation. However, the Services are provided "as is" and "as available" without warranties of any kind, express or implied. Syngraph data is intended for use in AI training and does not constitute professional engineering certification, safety certification, or regulatory compliance. You are responsible for independent validation appropriate to your use case and risk profile.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Syngraph shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Services. In no event shall Syngraph's total liability exceed the amounts paid by you to Syngraph in the twelve months preceding the claim.
8. TERMINATION
Syngraph reserves the right to suspend or terminate your access to the Services at any time, with or without cause, upon reasonable notice. Upon termination, your license to use the Services and API ceases immediately. Provisions regarding intellectual property, restrictions, limitation of liability, and indemnification survive termination.
9. MODIFICATIONS
Syngraph may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email or through the platform.
10. GOVERNING LAW
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
