TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing or using the Syngraph platform, API, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Services.

2. DESCRIPTION OF SERVICES

Syngraph provides synchronized, quality-checked manipulation episode datasets for use in training, fine-tuning, and evaluating robot learning systems. The Services include episode data delivery, QA reports, and related documentation.

3. DATA ACCESS AND USE

Access to Syngraph datasets is granted on a per-agreement basis. You agree to: (a) use the data only for lawful purposes; (b) comply with the scope of your data license agreement; (c) keep access credentials confidential; and (d) not share, resell, or redistribute Syngraph datasets as a standalone product or competing service.

4. INTELLECTUAL PROPERTY

The Syngraph capture methodology, validation pipeline, episode datasets, and all related intellectual property are owned exclusively by Syngraph. You are granted a limited, non-exclusive, non-transferable license to use delivered datasets for your internal training and deployment purposes. This license does not transfer ownership of any underlying data, methods, or technology.

5. RESTRICTIONS

You may not: (a) attempt to reconstruct, derive, or reverse-engineer the capture methodology, validation pipeline, or underlying algorithms of Syngraph; (b) redistribute Syngraph datasets to third parties; (c) use the datasets to build a competing data product or service; (d) remove or alter any proprietary notices or attribution in delivered data; or (e) sublicense or transfer dataset access to third parties without written authorization.

6. DATA ACCURACY AND DISCLAIMER

Syngraph episodes are verified through a multi-stage QA gate (modality sync, integrity, and smoothness checks) before delivery. However, the Services are provided "as is" and "as available" without warranties of any kind, express or implied. Syngraph data is intended for use in robot training and does not constitute professional engineering certification, safety certification, or regulatory compliance. You are responsible for independent validation appropriate to your use case and risk profile.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Syngraph shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Services. In no event shall Syngraph's total liability exceed the amounts paid by you to Syngraph in the twelve months preceding the claim.

8. TERMINATION

Syngraph reserves the right to suspend or terminate your access to the Services at any time, with or without cause, upon reasonable notice. Upon termination, your license to use the Services and API ceases immediately. Provisions regarding intellectual property, restrictions, limitation of liability, and indemnification survive termination.

9. MODIFICATIONS

Syngraph may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email or through the platform.

10. GOVERNING LAW

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
